Client Service Agreement

This Client Service Agreement ("Agreement") sets out the standard terms and conditions governing all services provided by Murray Media Limited ("Murray Media", "we", "our", or "us") to the Client ("Client", "you", or "your").

By signing a quotation or proposal, approving a quotation by email, paying a deposit, or instructing Murray Media Limited to commence work, the Client acknowledges that they have read, understood, and agree to be bound by this Agreement.

1. Scope of Agreement

This Agreement applies to all services provided by Murray Media Limited, including but not limited to:

  • Video Production

  • Photography

  • Video Editing

  • Graphic Design

  • Branding

  • Social Media Content Creation

  • Podcast Production

  • Live Streaming

  • Motion Graphics

  • Creative Consulting

  • Any other services outlined in an approved quotation or proposal.

Should any quotation contain terms that differ from this Agreement, the quotation shall prevail only with respect to those specific terms.

2. Quotations & Acceptance

All quotations remain valid for 30 calendar days unless otherwise stated.

A project is considered accepted upon the earliest of:

  • Signature of the quotation;

  • Written approval by email;

  • Payment of the required deposit;

  • Written instruction to commence work.

Once accepted, this Agreement becomes legally binding.

3. Deposits & Payment Terms

A 50% non-refundable deposit is required before production or project work begins unless otherwise agreed in writing.

The remaining balance is due within seven (7) calendar days of the final invoice date (Net 7).

Accepted payment methods will be outlined on each invoice.

Clients are responsible for any bank transfer fees associated with payment.

4. Late Payments

Invoices not paid by the due date shall incur a 5% late fee on the outstanding balance.

An additional 5% late fee will be applied every fourteen (14) calendar days thereafter until payment is received in full.

Murray Media reserves the right to:

  • Pause ongoing work;

  • Withhold drafts and final deliverables;

  • Suspend future bookings;

  • Decline additional work;

  • Revoke any agreed payment arrangements

until all outstanding balances have been settled.

5. Turnaround Times

Our standard turnaround time is 7–10 business days from:

  • completion of production;

  • receipt of all required project materials;

  • receipt of all client approvals.

Turnaround times are estimates and may vary based on project complexity.

Projects requiring additional revisions or delayed client feedback may require additional production time.

6. Expedited Services

Rush services may be available upon request.

Expedited delivery is subject to production availability and will incur an additional rush fee, which will be quoted before work commences.

7. Client Responsibilities

The Client agrees to:

  • Provide all required assets, branding, logos, copy, footage, approvals and other materials on time;

  • Ensure authorised representatives are available to provide feedback;

  • Obtain any permissions, permits or location access required for the project;

  • Ensure talent, speakers or interviewees arrive as scheduled.

Any delays caused by the Client automatically extend the project timeline by the duration of the delay.

Murray Media shall not be responsible for delays arising from incomplete, inaccurate or late client-supplied materials.

8. Revisions

Unless otherwise stated in the quotation, the project includes the number of revisions specified therein.

Minor Revisions

Minor revisions include:

  • text corrections;

  • colour adjustments;

  • music swaps;

  • trimming scenes;

  • replacing supplied assets;

  • other small adjustments that do not alter the creative direction.

Major Revisions

Major revisions include:

  • changing the concept;

  • restructuring edits;

  • rewriting scripts;

  • changing branding after approval;

  • adding new deliverables;

  • requesting significant creative changes after approval.

Major revisions will be quoted separately before work continues.

9. Client Approval

Clients are encouraged to review deliverables promptly.

Unless otherwise agreed, any revision requests should be submitted within five (5) business days of delivery.

If no revision request is received within this period, the deliverables will be deemed accepted.

Requests received after this period may be treated as new work and may incur additional fees.

10. Ownership & Intellectual Property

All creative work remains the property of Murray Media Limited until all invoices relating to the project have been paid in full.

Upon receipt of full payment, ownership or the agreed usage license transfers to the Client as outlined in the quotation.

11. Underlying Project Files

Unless expressly included within the quotation, the Client is purchasing the final deliverables only.

Murray Media retains ownership of all underlying production assets, including but not limited to:

  • RAW photographs

  • RAW video footage

  • Adobe Premiere project files

  • After Effects project files

  • Photoshop files

  • Illustrator files

  • InDesign files

  • Motion graphics source files

  • Audio sessions

  • Working project files

These files may be licensed or purchased separately at Murray Media's discretion.

12. Portfolio & Promotional Use

Unless otherwise agreed in writing before commencement of the project, Murray Media Limited reserves the right to use completed deliverables for:

  • portfolio display;

  • website;

  • social media;

  • advertising;

  • promotional campaigns;

  • presentations;

  • competitions;

  • award submissions;

  • editorial features;

  • marketing materials.

No confidential business information will be intentionally disclosed through such use.

13. RAW Footage & Project Storage

RAW footage, project files and associated production assets will be retained free of charge for ninety (90) calendar days following final project delivery.

After this period, Murray Media Limited may permanently delete these materials without further notice.

Clients requiring longer-term archival storage must request this before the expiry of the storage period.

Extended storage is subject to availability and additional storage fees.

Murray Media shall not be liable for any loss of RAW footage or project files after the 90-day retention period has expired.

14. Cancellations & Rescheduling

Deposits are non-refundable.

If a project is postponed, Murray Media will make reasonable efforts to accommodate a new date.

Rescheduling may be subject to availability.

Projects cancelled after production has commenced shall be invoiced for all work completed up to the cancellation date.

15. Weather & Force Majeure

Outdoor productions affected by severe weather or circumstances beyond Murray Media's reasonable control—including natural disasters, government restrictions, strikes, utility outages, illness, or other force majeure events—may be postponed without penalty.

Every reasonable effort will be made to reschedule the project.

16. Travel

Projects outside the Kingston Metropolitan Area may incur additional charges for:

  • transportation;

  • fuel;

  • tolls;

  • accommodation;

  • meals/per diem;

  • parking;

  • freight or equipment transport.

These costs will be disclosed in the quotation where reasonably foreseeable

17. Equipment Damage

The Client shall be responsible for any loss of or damage to Murray Media equipment caused by the Client, its employees, contractors, guests, or invitees, excluding ordinary wear and tear.

18. Confidentiality

Both parties agree to treat confidential information exchanged during the course of the project as confidential and not disclose it to third parties except where required by law or with prior written consent.

This obligation does not restrict Murray Media's rights under the Portfolio & Promotional Use section of this Agreement.

19. Limitation of Liability

Murray Media Limited shall not be liable for indirect, incidental, consequential, or special damages arising from the services provided.

Our total liability shall not exceed the total fees paid by the Client for the specific project giving rise to the claim.

20. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of Jamaica.

Any disputes shall first be addressed through good-faith negotiations before either party pursues legal proceedings.

21. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

22. Entire Agreement

This Agreement, together with the accepted quotation or proposal, constitutes the entire agreement between Murray Media Limited and the Client and supersedes all previous discussions relating to the project.

Definitions & Interpretation Guide

Version 1.0

This Definitions & Interpretation Guide forms part of the Murray Media Client Service Agreement. Unless otherwise stated, the following definitions apply throughout all quotations, proposals, invoices, and agreements issued by Murray Media Limited.

Business Day

A Business Day refers to any day from Monday through Friday, excluding Jamaican public holidays and any dates on which Murray Media Limited is officially closed.

Business days are used when calculating turnaround times, revision periods, payment deadlines, and other contractual timelines.

Client

The Client refers to any individual, business, organisation, government agency, or other entity engaging Murray Media Limited to provide services.

Agreement

The Agreement refers collectively to:

  • The Murray Media Client Service Agreement;

  • Any accepted quotation or proposal;

  • Approved change orders;

  • Project schedules;

  • Written correspondence modifying the scope of work.

Project

A Project refers to any agreed scope of work performed by Murray Media Limited for the Client.

A project may consist of one or more deliverables.

Deliverables

Deliverables are the final agreed products supplied to the Client, including but not limited to:

  • Edited videos

  • Photographs

  • Graphic designs

  • Logos

  • Brand assets

  • Motion graphics

  • Social media content

  • Podcasts

  • Audio productions

  • Documents

  • Presentations

Only deliverables specifically listed within the quotation are included.

Final Delivery

Final Delivery occurs when Murray Media Limited makes the completed deliverables available to the Client through download, cloud storage, physical media, email, or any other agreed delivery method.

Delivery does not require the Client to have downloaded or viewed the files.

Production Day

A Production Day refers to any scheduled day during which Murray Media Limited provides services such as:

  • Filming

  • Photography

  • Live Streaming

  • Podcast Recording

  • Interviews

  • Drone Operations

  • On-location Content Creation

The duration of a production day shall be stated within the quotation.

Shoot Day

A Shoot Day is a Production Day involving photography, videography, or both.

Business Hours

Unless otherwise agreed, Murray Media Limited's standard business hours are:

Monday – Friday
9:00 AM – 5:00 PM (Jamaica Time)

Communication outside business hours is not guaranteed.

Turnaround Time

Turnaround Time refers to the estimated production period required to complete the agreed deliverables after:

  • production has concluded;

  • all required assets have been received;

  • all necessary approvals have been obtained.

Turnaround time excludes delays caused by the Client.

Rush Service

A Rush Service is any request requiring completion sooner than Murray Media Limited's standard turnaround time.

Rush services are:

  • subject to scheduling availability;

  • quoted separately;

  • billed at an additional fee.

Minor Revision

A Minor Revision is a change that does not materially alter the approved creative direction or scope of work.

Examples include:

  • correcting spelling or grammar;

  • replacing supplied logos;

  • adjusting colours;

  • replacing supplied music;

  • trimming scenes;

  • changing lower-thirds;

  • replacing photographs already supplied;

  • volume adjustments;

  • subtitle corrections;

  • simple timing adjustments.

Minor revisions are intended to refine—not redesign—the final product.

Major Revision

A Major Revision is any request that substantially changes the approved creative direction, production requirements, or scope of work.

Examples include:

  • changing the concept;

  • changing the script after filming;

  • restructuring the edit;

  • changing branding after approval;

  • replacing large portions of footage;

  • requesting new animations;

  • requesting additional filming;

  • requesting new deliverables;

  • changing aspect ratios not originally quoted;

  • redesigning approved artwork.

Major revisions are billed separately unless otherwise stated.

Client Delay

A Client Delay refers to any delay resulting from the Client's failure to provide information, approvals, assets, access, or decisions required to progress the project.

Examples include:

  • delayed feedback;

  • missing logos;

  • incomplete scripts;

  • unavailable interviewees;

  • delayed payments;

  • inaccessible filming locations.

Project timelines automatically extend by the duration of any Client Delay.

RAW Footage

RAW Footage refers to all original, unedited recordings captured during production.

This includes:

  • camera footage;

  • drone footage;

  • audio recordings;

  • behind-the-scenes footage;

  • original photographs.

RAW footage is not included in standard project pricing unless expressly stated.

Project Files

Project Files refer to the editable working files used during production, including but not limited to:

  • Adobe Premiere Pro projects

  • Adobe After Effects projects

  • Adobe Photoshop files

  • Adobe Illustrator files

  • Adobe InDesign files

  • DaVinci Resolve projects

  • Motion graphics source files

  • Audio editing sessions

These files remain the property of Murray Media Limited unless purchased separately.

Creative Direction

Creative Direction refers to the approved artistic vision of the project, including style, pacing, editing approach, typography, colour treatment, music selection, storytelling, and overall presentation.

Revision Round

A Revision Round refers to one consolidated list of revision requests submitted by the Client after reviewing a draft.

Multiple emails containing separate revision requests may be treated as multiple revision rounds.

Clients are encouraged to submit all requested changes together.

Approval

Approval refers to written confirmation from the Client authorising Murray Media Limited to proceed to the next stage of production.

Approvals may be given via:

  • email;

  • approved project management platform;

  • signed quotation;

  • written messaging application;

  • any other agreed written communication.

Archive Storage

Archive Storage refers to the optional service of retaining RAW footage and project files beyond the standard ninety (90) day retention period.

Archive storage:

  • must be requested before the retention period expires;

  • is subject to storage availability;

  • incurs additional fees.

Force Majeure

A Force Majeure Event refers to circumstances beyond the reasonable control of either party, including but not limited to:

  • hurricanes;

  • earthquakes;

  • flooding;

  • acts of God;

  • war;

  • civil unrest;

  • government restrictions;

  • labour strikes;

  • widespread power outages;

  • internet outages;

  • pandemics;

  • serious illness;

  • equipment theft or destruction.

Neither party shall be considered in breach of the Agreement where performance is prevented by a Force Majeure Event.

Confidential Information

Confidential Information refers to any non-public information disclosed by either party, including but not limited to:

  • pricing;

  • marketing strategies;

  • business plans;

  • financial information;

  • customer information;

  • unpublished creative concepts;

  • production methods;

  • internal documents.

Confidential Information does not include information that is publicly available or required by law to be disclosed.

Interpretation

Unless the context requires otherwise:

  • Singular words include the plural.

  • Plural words include the singular.

  • Headings are included for convenience only and do not affect interpretation.

  • References to one gender include all genders.

  • References to legislation include any amendments or replacements of that legislation.
